TERMS AND CONDITIONS OF USE (T&C)


Effective Date: 1 March 2026

Welcome to Toffeetoes, an e-commerce platform that sells footwear for children. These Terms and Conditions (“T&C” or “Agreement”) govern your access and use of the website and all services offered by Green Potato Private Limited (hereinafter referred to as “Toffeetoes,” “We,” “Us,” or “Our”).

By accessing or using the platform, you agree to be bound by these T&C, in compliance with the laws of India, including the Indian Contract Act, 1872, the Information Technology Act, 2000, and the Consumer Protection (E-Commerce) Rules, 2020.


1. ELIGIBILITY AND CONTRACTING PARTY (The Parent-Guardian Covenant)

1.1. User Representation: The Toffeetoes platform is strictly intended for use by individuals who have attained the age of majority (18 years or older) and possess the legal capacity to enter into a contract under the Indian Contract Act, 1872.

1.2. Minor Usage: You acknowledge that the products listed on the platform are for children, who are minors. By placing an order, you represent that you are the parent or legal guardian of the child/children for whom the product is purchased and that any use of the platform by a minor dependent occurs solely under your supervision and is your sole responsibility.

1.3. Account Responsibility: If you use a shared household account, you, as the primary account holder, are responsible for all activities and transactions conducted through your credentials, including any purchases made by other family members.

1.4. Data Protection: You acknowledge that by providing personal information (such as shipping address, name, or shoe size) for your minor dependents, you are acting as the data principal and are responsible for providing any necessary "verifiable parental consent" as mandated by the Digital Personal Data Protection (DPDP) Act, 2023, for the processing of a child’s data.


2. MANDATORY DISCLOSURES AND COMPLIANCE

In compliance with the Consumer Protection (E-Commerce) Rules, 2020, Toffeetoes provides the following mandatory information:

Toffeetoes is legally obliged to acknowledge any consumer complaint within 48 hours and redress the same within one month from the date of receipt.


3. PRODUCT INFORMATION AND QUALITY STANDARDS

3.1. Colour and Aesthetic Variation (Digital Perception Gap): We strive to display product colours and images with the highest possible fidelity. However, the actual colours of products like the "Astroknots" collection may vary from what you see on your screen due to the technical limitations of monitors, mobile displays, and differences in ambient lighting. This technical variance does not constitute a defect or a claim that the product is "not as described."

3.2. Sizing Disclaimer: Sizing charts and guides provided on the website are intended for reference only and are not a guarantee of fit. Toffeetoes disclaims liability for any fit-related discomfort or issues arising from a parent's subjective size choice. We recommend measuring the child’s foot according to the specific instructions provided on our website before ordering.

3.3. Quality Compliance (BIS Mandate): Our products conform to the relevant Indian Standards issued by the Bureau of Indian Standards (BIS). Our products are manufactured exclusively at BIS certified facilities to ensure the high-quality standards required for children's footwear.

3.4. Inventory Dynamics: We reserve the right to limit quantities or discontinue any product, including seasonal collections, at any time without prior notice. In the event of stock inaccuracies or logistical impossibilities after an order is placed, Toffeetoes reserves the right to cancel the order, in which case a full refund will be processed promptly.

3.5 Product Provenance: The product description page for every shoes will contain a complete and accurate disclosure of all material components used in the construction of footwear, including but not limited to the upper and sole. Unless explicitly mentioned otherwise on the product or packaging, all Toffeetoes footwear is designed and manufactured entirely within India and is a “Make in India” product. 

4. ORDER FULFILLMENT, DELIVERY, AND RISK OF LOSS

4.1. Delivery Timelines: Estimated delivery timelines (typically 5 to 7 business days) are projections and do not constitute an "essence of the contract" deadline. A slight delay in delivery will not automatically constitute a breach of contract.

4.2. Force Majeure: Toffeetoes shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, which may include natural disasters, government-imposed lockdowns, sudden transportation strikes, or large-scale digital network outages. In such an event, we commit to promptly notifying the customer, maintaining the "Right to be Informed."

4.3. Risk of Loss (Destination Contract): The Risk of Loss for your purchased product, shall not pass to you until the product is physically delivered to you. Toffeetoes assumes responsibility for the product's safe journey until it reaches your doorstep.

4.4 Consent to Electronic Delivery: By using the Toffeetoes platform, you consent to receive all notices, agreements, disclosures, and other communications (collectively, "Communications") from us electronically. 

5. RETURN, EXCHANGE, AND REFUND POLICY

5.1. General Return/Exchange Policy ("24Hrs Rule"): You may return or exchange a product within 24 hours  from the date of order for "change of mind," subject to the following conditions:

  • Product Condition: The shoes must be unworn, unaltered, and unwashed. The unworn requirement is strictly enforced through inspection of the soles.

  • Original Packaging: All original tags, labels, mono-cartons, and decorative elements (mascots/stickers) must be returned intact.

  • Return or exchange cases will be considered when you send an email to customercare@toffeetoes.com

5.2. Non-Returnable Items: The following items are non-returnable:

  • Items purchased during "Clearance Sales" or "BOGO" offers.

  • Items purchased in a discount from the listed price.

  • Hygiene-sensitive items like socks, unless they have a proven manufacturing defect.

  • Shoes that are worn for more than 1 day.

5.3. Refund Mechanism:

  • Refunds will be initiated after the returned item is verified at our warehouse (typically 2-4 business days).

  • The refund will be processed to the original payment method within a reasonable period (usually 5-7 working days, subject to your bank's policy).

6. INTELLECTUAL PROPERTY (IP) AND USER-GENERATED CONTENT (UGC)

6.1. Ownership: All content on the Toffeetoes platform, including logos, designs (e.g., "DoodleDrift"), text, graphics, “Miss Toffee” character and the "Mr. Toe" character, is the exclusive property of the company or its licensors and is protected by trademark and copyright laws.

6.2. Usage Restrictions: You are granted a limited, non-transferable license to access the platform for personal, non-commercial shopping purposes only. You are strictly prohibited from scraping images for third-party use or using character designs for unauthorised merchandise.

6.3. User-Generated Content: If you post content, such as photos of your children wearing Toffeetoes, you grant Toffeetoes a non-exclusive, royalty-free license to use that content for promotional purposes. We commit to respecting parental privacy and will seek specific, additional consent before using such images in large-scale advertising campaigns.

7. LIMITATION OF LIABILITY, WARRANTY AND INDEMNIFICATION

7.1. "As Is" Disclaimer: The website is provided on an "as is" and "as available" basis. We do not warrant that the site will be 100% error-free or that our servers are free of viruses. You accept the sole risk of using the platform.

7.2. Liability Cap: Our total liability for any claim—whether in contract, tort, or otherwise—shall not exceed the amount you paid for the specific product in question. 

7.3 your agreement to indemnify: You agree to indemnify, defend, and hold harmless Green Potato Private Limited (Toffeetoes), its officers, directors, employees, agents, and licensors (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your access to or use of the Toffeetoes platform.

  • Your violation of any term of these T&C.

  • Your breach of any law or the rights of a third party.

  • Any activity related to your account by you or any other person accessing the platform using your credentials.

8. GOVERNING LAW AND DISPUTE RESOLUTION

8.1. Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of India. The courts in Gurugram shall have exclusive jurisdiction over any disputes arising out of or in connection with this T&C.

8.2. Dispute Resolution Hierarchy: We encourage parents to follow the formal redressal process before escalating to litigation:

1.  Level 1: Toffeetoes Customer Care: Informal resolution via email/chat.

2.  Level 2: Toffeetoes Grievance Officer: Formal complaint and statutory review (acknowledgement within 48 hours, redressal within one month).

9. BILLING AND PAYMENT

9.1. **Payment Methods:** Toffeetoes accepts payments via various methods, including but not limited to:

  - Credit Cards (Visa, Mastercard, American Express)

  - Debit Cards

  - Net Banking from major Indian banks

  - Popular Digital Wallets (e.g., PhonePe, Paytm, Google Pay)

  - Cash on Delivery (COD) for eligible pin codes, subject to a maximum order value, which will be specified at checkout.

9.2. Billing and Order Confirmation:

By submitting an order, you confirm that the payment details provided are valid and correct. An order confirmation will be sent to your registered email address upon successful payment processing.

  • Payment Security: All transactions are processed through secure and trusted third-party payment gateways. Toffeetoes does not store your complete credit card or financial information.

  • Pricing and Taxes: All prices listed on the platform are inclusive of all applicable taxes, including Goods and Services Tax (GST), unless explicitly stated otherwise. Toffeetoes reserves the right to correct any pricing errors discovered after an order has been placed and will notify you promptly.

  • International Payments: We currently only accept payments in Indian Rupees (₹) and do not process payments from international cards issued outside India.

10. ACCEPTANCE OF TERMS

By clicking the designated checkbox at the checkout stage, you provide your “explicit and affirmative consent” to this Agreement and the Toffeetoes Privacy Policy.
